One (1) Digi-Beta format or, if available and at Licensee's sole cost and expense, one (1) high definition format "Submaster" of the Licensed Program which meets Licensor's technical standards necessary for reproduction and transmission. In the event a high definition Submaster is not available, Licensee may request that Licensor create a high definition version or up-convert a standard definition Submaster to high definition, provided that Licensee shall be responsible for all actual, reasonable out-of-pocket costs relating to the creation and delivery of such high definition version, up to Two Thousand Five Hundred Dollars ($2,500) per Episode. Upon Licensee's request, Licensor shall provide Licensee with a good faith estimate of the costs of creating and delivering the high definition version of a Licensed Program. In the event that Licensor estimates in good faith that such costs will exceed Two Thousand Five Hundred Dollars ($2,500), Licensee shall have the right either to (i) pay such excess costs and expenses, or (ii) withdraw its request for such high definition version.
